Aegis Nutrition — Website Terms and Conditions
These Terms and Conditions ("Terms") govern your access to and use of the website located at aegisnutrition.com, including all content, features, and coaching-related information made available on it (collectively, the "Site"). By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, please do not use the Site.
1. Who We Are and What We Offer
Aegis Nutrition provides nutrition coaching, training guidance, and related wellness services ("Services") delivered by our coaches. The Site is informational and promotional in nature; enrollment in coaching programs may be subject to separate service agreements, which take precedence over these Terms where they conflict on matters specific to that engagement.
2. Eligibility
You must be at least 18 years old, or the age of majority in your jurisdiction, to use the Site or enroll in our Services. If you are accessing the Site on behalf of a minor, you represent that you have the legal authority to do so and accept these Terms on their behalf.
3. Not Medical Advice
Aegis Nutrition provides nutrition and fitness coaching for general wellness purposes. Nothing on the Site or provided through our Services constitutes medical advice, diagnosis, or treatment, and is not a substitute for professional medical care. You should consult a qualified physician or healthcare provider before beginning any nutrition, supplement, or exercise program, particularly if you have an existing medical condition, are pregnant or nursing, or are taking medication. Results from coaching vary by individual, and we make no guarantee of specific outcomes.
4. Assumption of Risk
Participation in nutrition and fitness coaching carries inherent risks, including risk of injury. By using our Services, you voluntarily assume all such risks and agree that Aegis Nutrition is not responsible for any injury, loss, or damage arising from your participation, except to the extent caused by our gross negligence or willful misconduct.
5. Accounts and Registration
Certain areas of the Site or our Services may require you to create an account or submit personal information. You agree to provide accurate, current, and complete information and to keep it up to date. You are responsible for maintaining the confidentiality of any login credentials and for all activity under your account.
6. Payments, Fees, and Cancellations
Fees for coaching programs, packages, or subscriptions will be disclosed to you before purchase. Unless otherwise stated in a separate service agreement or at the point of sale:
Fees are due in accordance with the payment schedule presented at checkout or enrollment.
Refund and cancellation terms, if any, will be specified in your program-specific agreement or order confirmation.
We reserve the right to change pricing for future billing periods with reasonable notice.
Please review the specific terms provided at the time of purchase, as they govern refunds and cancellations for that transaction.
7. Intellectual Property
All content on the Site — including text, graphics, logos, program materials, and coaching content — is owned by or licensed to Aegis Nutrition and is protected by copyright, trademark, and other intellectual property laws. You may not copy, reproduce, distribute, or create derivative works from Site content without our prior written consent, other than for your own personal, non-commercial use of purchased programs.
8. User Conduct
When using the Site, you agree not to:
Violate any applicable law or regulation;
Infringe the intellectual property or privacy rights of others;
Upload or transmit harmful code, malware, or unsolicited advertising;
Attempt to gain unauthorized access to the Site, our systems, or other users' accounts;
Misrepresent your identity or affiliation with any person or entity.
9. User-Submitted Content
If you submit testimonials, progress photos, reviews, or other content to us ("User Content"), you grant Aegis Nutrition a non-exclusive, worldwide, royalty-free license to use, reproduce, and display that content for marketing and promotional purposes, unless you tell us otherwise in writing. You represent that you have the right to submit such content and that it does not violate any third party's rights.
10. Third-Party Links
The Site may contain links to third-party websites or services that are not owned or controlled by Aegis Nutrition. We are not responsible for the content, privacy practices, or terms of any third-party sites. Accessing them is at your own risk.
11. Privacy and Sharing With Sister Companies
Our collection and use of personal information, including information collected from visitors in the United States, Canada, and the European Union/UK, is described in our Privacy Policy, which is incorporated into these Terms by reference. Where applicable law (such as the GDPR, UK GDPR, PIPEDA, or U.S. state privacy laws) grants you specific data rights, those rights are honored as described in the Privacy Policy.
Personal information you submit through the Site, including your email address, may be shared with our sister and affiliate companies, currently Morphogen Nutrition ("Affiliates"), which are commonly owned or controlled with Aegis Nutrition. Affiliates may use this information to send you their own marketing and promotional communications about related products and services. Where the applicable form includes a separate opt-in for this sharing (see our Email Sign-Up Terms & Marketing Consent), that opt-in governs; where no separate opt-in is presented, submitting your information through the Site constitutes your consent to this sharing to the extent permitted by applicable law. You may withdraw this consent at any time as described in our Privacy Policy or by contacting us using the details in Section 19.
12. Disclaimers
THE SITE AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AEGIS NUTRITION AND ITS OWNERS, EMPLOYEES, COACHES, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUE, ARISING FROM YOUR USE OF THE SITE OR SERVICES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. NOTHING IN THESE TERMS LIMITS LIABILITY THAT CANNOT LAWFULLY BE LIMITED, INCLUDING, WHERE APPLICABLE, LIABILITY FOR DEATH OR PERSONAL INJURY CAUSED BY NEGLIGENCE OR FOR FRAUD, AND CONSUMERS IN THE EUROPEAN UNION AND UNITED KINGDOM RETAIN ANY MANDATORY STATUTORY RIGHTS THAT CANNOT BE WAIVED.
14. Indemnification
You agree to indemnify and hold harmless Aegis Nutrition and its owners, employees, and coaches from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising from your violation of these Terms or misuse of the Site or Services.
15. Termination
We may suspend or terminate your access to the Site or Services at any time, with or without notice, for conduct that violates these Terms or is otherwise harmful to Aegis Nutrition or other users.
16. Governing Law and Venue
Because Aegis Nutrition serves clients in the United States, Canada, and Europe, the governing law applicable to a given dispute may depend on your location and the nature of the claim. Except where mandatory local consumer-protection law provides otherwise, these Terms are governed by the laws of Florida, without regard to conflict-of-law principles, and any disputes will be subject to the courts located in Florida. If you are a consumer resident in the EU or UK, you may also be entitled to bring proceedings in the courts of your country of residence, and mandatory consumer protections of that jurisdiction will apply notwithstanding this clause.
17. Changes to These Terms
We may update these Terms from time to time. The "Effective Date" above reflects the most recent revision. Continued use of the Site after changes are posted constitutes acceptance of the revised Terms.
18. Severability
If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect.
